Vasil Kisil & Partners Advises on Sale of a Major Shopping Mall in Kyiv

Vasil Kisil & Partners Law Firm acted as a legal adviser to investors in the matters of sale of Aladdin Shopping Mall, one of the largest shopping centers in Kyiv, to Meyer Bergman, a European-based private equity fund. The transaction was successfully closed on April 9, 2008.

Aladdin Shopping Mall is located on the left bank of Kyiv on Hryshko Street near Poznyaky Metro station. The leasable area is approximately 16,5 thousand sq.m. with main tenants being retail shops, restaurants and entertainment facilities ("Liniya Kino" cinema centre, a skating rink and a climbing wall).

"Vasil Kisil & Partners" acted for the sellers and provided overall legal support for the transaction, including planning and structuring the transaction, advising on transactional tax and investment matters, conducting limited pre-sale legal due diligence and providing recommendations on mitigation of transaction-related risks: drafting and negotiating the transaction documentation, closing the transaction, and implementation of the post-closing matters.

"Vasil Kisil & Partners" also acted for the purchaser in the matters of Ukrainian merger clearance of the transaction with the Antimonopoly Committee of Ukraine.
