Vasil Kisil & Partners Advise Alpcot Agro on Acquisition of Landkom Group

On 27th of January 2012 Alpcot Agro AB, a Sweden-based agricultural company, has announced the completion of the transaction to acquire the entire share capital of Landkom International PLC ("Landkom") with a landbank of 74,000 ha and a developed agricultural business operating in 7 regions of Ukraine. The acquisition value is about SEK 140 million, which equals to approximately GBP 12.97 million. As a result of the mentioned transaction Alpcot Agro became a global agricultural company with almost 280,000 hectares of controlled land across Russia and Ukraine. In course of the acquisition Alpcot has also undertook a capital raise of ca USD 20 mln by means of additional share issue at NASDAQ First North in Stockholm.

Vasil Kisil & Partners act as Ukrainian legal advisors for Alpcot Agro and have conducted comprehensive legal due diligence of Landkom's Ukrainian companies and their agricultural assets. Legal due diligence covered five (5) major operating Ukrainian subsidiaries, selective land leases review, tax, regulatory, litigation and financing matters of Landkom's Ukrainian business. VKP has also advised Alpcot on various transactional issues, including merger clearance, land regulations in Ukraine, etc.
