SEB Group – acquisition of Factorial – Bank (Kharkov)

Advising SEB Group on the acquisition of Factorial – Bank (Kharkov), including legal due diligence, drafting all transaction documents both before and after completion of the transaction, in particular, the shares purchase agreement, the escrow agreement and the subordinated loan assignment agreement, obtaining of merger clearance from the Antimonopoly Committee of Ukraine and approval from the National Bank of Ukraine for substantial participation in the target, counseling on fulfillment of conditions precedent to the deal as well as providing post-completion support to the client, in particular, advising on the changes in the membership of the target’s governing bodies, elaboration of the new corporate governance standards etc.
